Agreeing to the confidentiality agreement is essential before we can share further details about the listing you're interested in.
Crown Commercial Limited Confidentiality Agreement
Between business purchasers/investors/their advisors (the recipient) and Crown Commercial (the discloser).
In consideration of you agreeing to provide me/ us, directly or indirectly via Crown Commercial with information in respect of the possible disposal or acquisition the assets of any business(es) through Crown Commercial, including but not limited to the listing below.
I/We hereby agree and undertake as follows:
1. I/We have obtained independent legal advice, Crown Commercial hereby recognises that independent legal advice be obtained prior to agreeing to this confidentiality agreement, failing which I/we expressly waive the right to obtain legal advice against such recommendation.
2. I/We agree, except as provided in this agreement not to divulge to any person what so ever, any Confidential Information.
3. I/We will hold and keep as strictly confidential, all information, statements, opinion, projections, forecasts and other matters of whatsoever nature, whether written or oral, (“the Confidential Information”) except in so far as the same may be or become information in the public domain.
4. Before disclosing any Confidential Information to any person the recipient now undertakes it will:
4.1 obtain the consent of the Discloser;
4.2 obtain the signature of the person approved, to the terms of this agreement, in exchange for valuable consideration, so that the person becomes personally bound and liable in the same way as the Recipient.
4.3 a copy of such written acknowledgement shall be filed with Crown Commercial immediately prior to such disclosure.
5. I/We will not disclose any of the Confidential Information to any employee or third party unless such employee or third party is specifically required to have knowledge of the same for purposes directly related to my/our consideration of the business offered for sale or investment in.
6. In the event that, after consideration of the Confidential Information, I/We do not purchase or make an investment in your business, I/We will forthwith return the said Confidential Information together with any copies, notes thereof (or any part thereof) or any documents containing extracts reproduced there from made by or on behalf of us. Furthermore, I/We will maintain the confidentiality of such information and not use the same for any purpose.
7. All Confidential Information remains the sole property of the Discloser and no licence or other right is granted or implied by this agreement.
8. We acknowledge that Crown Commercial is the introducing agent, and that all offers for the business, shares, or property will be conducted through that office.
9. I/We undertake, to indemnify you against any actions, proceedings, costs, claims, demands or liabilities, which you may suffer in consequence of any breach by me/us of the undertakings herein contained.
10. The obligations, covenants and undertakings contained in this Confidentiality Agreement shall continue in force without any limit in point of time, notwithstanding that no purchase agreement is entered into or any investment is made in the business.
